Software License Agreement

This is an agreement between Licensor and Licensee, who is being licensed to use the named Software.

Licensee acknowledges that this is only a limited nonexclusive license. Licensor is and remains the owner of all titles, rights, and interests in the Software.

This License permits Licensee to install the Software on more than one computer system, as long as the Software will not be used by the same user. Licensee will not make copies of the Software or allow copies of the Software to be made by others, unless authorized by this License Agreement. Licensee may make copies of the Software for backup purposes only.

This Software is subject to a limited warranty. Licensor warrants that the physical medium is free from defects, the Software performs as documented, and its use doesn't infringe third-party intellectual property rights. This warranty is valid for 30 days after delivery and replaces all other warranties to the extent permitted by law, including implied warranties of title, merchantability, noninfringement, or fitness for a particular purpose.

In the case of a breach of the Limited Warranty, the Licensee's exclusive remedy is to return all copies of the Software to Licensor, who will then provide a replacement copy or a full refund.

LICENSOR IS NOT LIABLE FOR DAMAGES, INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, RELATED TO THIS LICENSE AGREEMENT OR LICENSEE'S USE OF THE SOFTWARE.

Licensee agrees to defend and indemnify Licensor from claims, losses, damages, complaints, or expenses resulting from Licensee's business operations.

Acceptable Use & Ethical Compliance: Licensee agrees to use the Software only for lawful purposes. Prohibited uses include facilitating fraud (like fake websites or phishing), engaging in illegal activity, or harassing Licensor’s staff.

Monitoring & Enforcement: Licensor may investigate suspected AUP violations and reserves the right to cooperate with law enforcement and regulatory bodies if illegal or fraudulent activity is found.

Termination for Misuse: Licensor can terminate this agreement immediately and without notice for any material breach, including AUP violations. Upon termination for misuse, Licensor may issue a final refund at its discretion.

Upon termination, Licensee agrees to return or destroy all copies of the Software.

This License Agreement is the complete agreement between Licensor and Licensee regarding this Software.

This License Agreement is valid without Licensor's signature and becomes effective upon Licensee's signature or use of the Software.
